The present general terms and conditions (the “Terms and Conditions”) govern the sale of the products displayed on the website www.despetitshauts.com (the “Website”) by DES PETITS HAUTS SASU, a simplified joint-stock company with a sole shareholder, having its registered office at 34 A, rue de la Ladrie, 59491 Villeneuve-d’Ascq, France, registered with the Trade and Companies Register of Lille Métropole under number 422 390 989, with intra Community VAT number FR93422390989 (“DES PETITS HAUTS”).

PREAMBLE

These Terms and Conditions are entered into between DES PETITS HAUTS and any non trading natural person wishing to make a purchase via the Website (the “Customer”).

These Terms and Conditions govern the sale of all products displayed on the Website (the “Products”).

PRODUCT OFFER ON THE WEBSITE

Any order implies acceptance of the prices and of the description of the Products available for sale. The items offered for sale are described and presented with the greatest possible accuracy.

Any dispute in this respect shall be handled, where applicable, in the context of an exchange and of the warranties referred to in Article 7 (in which case return costs shall be borne by DES PETITS HAUTS).

Due to the manufacturing processes and suppliers involved, DES PETITS HAUTS may deliver an item whose appearance has slightly varied during production (for example, a slight difference in shade, a leather with a slightly different texture, or an embroidery placed in a slightly different position), without altering the general appearance of the product. The product delivered shall in any event be of equal or superior quality to the item ordered. If the item delivered does not suit the Customer, the Customer shall benefit from the statutory legal guarantee of conformity, as well as the possibility to exercise his or her right of withdrawal.

In order to ensure the quality and safety of the Products, DES PETITS HAUTS strictly complies with the latest regulations and requirements issued by the competent authorities, so as to ensure that the products meet the applicable market standards. The products sold by DES PETITS HAUTS are subject to strict testing carried out in partnership with quality departments and accredited laboratories.

Product offers are valid while stocks last.

PRICES

The prices of the Products indicated on the Website are valid for as long as they are displayed online.

Product prices are indicated in euros, all taxes included. They take into account VAT and any discounts applicable on the date the order is placed. Product prices are shown exclusive of the flat-rate contribution to order processing and delivery costs (at the rate in force, as set out in Article 5).

Should one or more taxes or contributions, in particular environmental taxes or contributions, be created or modified, whether increased or reduced, such change may be passed on to the sale price of the Products displayed on the Website and on any other sales media.

Prices are valid only for purchases made on the Website and may under no circumstances be claimed for purchases made in DES PETITS HAUTS brick-and-mortar stores.

In the event that a price is displayed in error, at a manifestly derisory level (token price), for any reason whatsoever (IT bug, human error, technical error, etc.), the order – even if validated by us – shall be cancelled, and you will be informed of this as soon as possible. You will then have the option, if you so wish, to place a new order at the corrected and accurate price.

ORDER

CUSTOMER ACCOUNT REGISTRATION
For any first order, the Customer must follow the account creation procedure indicated on the Website.

The Customer account number is personal. Any loss or forgotten identifier must be reported to DES PETITS HAUTS Customer Service by calling +33 (0)9 74 99 02 03 (toll free service, plus call charges). Opening hours: Monday to Friday, from 9:00 a.m. to 6:00 p.m. (excluding public holidays).

ORDER PLACEMENT AND CONFIRMATION
It is the Customer’s responsibility to select the Product(s) he or she wishes to order, by choosing the desired quantities and characteristics and then clicking “ADD TO CART”.

The Customer is invited to view his or her basket via the dedicated tab at the top right-hand corner of the Website, which details the name, characteristics, quantity and price of the selected Products. The Customer is invited to verify that the content of the order is correct and to correct any errors. The Customer must then click on “CHECKOUT” and will be redirected to the order summary.

Once the basket has been validated, the Customer must choose the delivery address and method and confirm the method of payment. This final step constitutes the conclusion of the sales contract with DES PETITS HAUTS.
The order is only definitively recorded once the Customer has confirmed payment and the bank has accepted the transaction.

DES PETITS HAUTS will acknowledge receipt of the order by sending an email containing a link to these Terms and Conditions of Sale. The Customer may also print an order summary directly from the Website.

In certain circumstances, in particular in the event of non payment, an abnormal number of customer accounts, an unusually large order in terms of quantities ordered, abusive exchanges or returns, an existing dispute, an incorrect address or any other issue relating to the Customer’s account, DES PETITS HAUTS reserves the right to place the order on hold until the issue has been resolved.

For any questions relating to order tracking, the Customer may contact our Customer Service by telephone on +33 (0)9 74 99 02 03 (free service from mainland France, plus the cost of the call), from Monday to Friday, 9:00 a.m. to 6:00 p.m. (excluding public holidays), or by email at the following address: eshop@despetitshauts.com.

ORDER PROCESSING
Any order placed on the Website from Monday to Friday before 1:00 p.m. will be processed the same day; orders placed after 1:00 p.m. will be processed on the next business day.
Any order placed on Friday after 1:00 p.m., as well as orders placed on Saturday or Sunday, will be processed on the following Monday. Orders placed on a public holiday will be processed on the next business day.

PAYMENT

Payment for an online order is made as soon as the Customer validates the order and it is accepted by the relevant financial institution, using one of the following methods:

- By bank card (Carte Bleue, Maestro, Visa, Mastercard, American Express, Apple Pay, Google Pay):
The Customer’s bank account will be debited upon validation of the order. In order to ensure secure payments, DES PETITS HAUTS uses the secure payment services of its provider ADYEN. This service incorporates the SSL 3.0 security standard.

Confidential data are encrypted on the provider’s server and are at no time transmitted through DES PETITS HAUTS’ IT systems. ADYEN thus ensures the highest level of security for data relating to our Customers’ means of payment. Payment requests are routed in real time to ADYEN’s secure online payment platform, which performs the necessary checks to prevent abuse and fraud. When validating the order, the Customer must provide his or her bank card number, expiry date and security code.

The bank card details are then stored in encrypted form by ADYEN until the order has been effectively paid and until the expiry of the return period, solely in order to enable any refund to be made by re crediting the Customer’s bank account. The bank card data collected in connection with orders are used by ADYEN exclusively for the purpose of performing the transaction. In the event of fraudulent use of the Customer’s card, the Customer is invited to contact our Customer Service without delay as soon as such use is detected, on +33 (0)9 74 99 02 03 (free service from mainland France, plus the cost of the call), from Monday to Friday, 9:00 a.m. to 6:00 p.m. (excluding public holidays).

- Via a Paypal account :
By choosing payment via PayPal, the Customer will be automatically redirected to his or her PayPal account.

- By instalment payment via Klarna:
By choosing this method of payment, the Customer will be redirected to a page where his or her profile will be assessed so that our partner Klarna can decide whether to accept the financing request. The Customer’s details will then be transmitted to Klarna which, subject to approval of the file, will provide a payment schedule setting out the amount and due dates of each instalment. By choosing this instalment payment method, the Customer accepts Alma’s customer general terms and conditions.

- By E-Gift Card :
The E Gift Card may be used as a means of payment, in whole or in part, for the order, depending on the amounts involved. See the dedicated gift card section below. The E Gift Card may be used to pay for any purchase on www.despetitshauts.com. It is valid online only and cannot be used in stores.

It generates a code which may be used on several occasions, up to the value of the card, and may be supplemented by another means of payment. It is valid for 1 year and cannot be exchanged or refunded*.

It will be sent to you by email, together with instructions on how to use it when paying for your order. You may forward this email to the person to whom you wish to give the gift, or print it out and hand it over in paper form.

*The E Gift Card cannot be exchanged or refunded. Any item purchased using the E Gift Card is subject to the same 14 business day return conditions. Any refund is made directly to the E Gift Card, which will be re credited with the amount of the item purchased.

If an order paid with an e-gift card is returned, the corresponding amount will be credited back to the e-gift card used for the purchase.
If the order was paid using both an e-gift card and another payment method, the refund will first be credited back to the e-gift card, up to the amount originally paid with it. Any remaining balance will then be refunded to the additional payment method used for the order.

DELIVERY

Place of delivery. Products are shipped to the delivery address provided by the Customer during the ordering process. If the delivery address is invalid and results in the Products being returned due to non receipt at the address indicated when placing the order, the cost of reshipping the Products to the new address provided shall be borne by the Customer.

Delivery methods. Deliveries are carried out by a carrier selected by the Seller, to the address indicated by the Customer when placing the order and to which the carrier can gain access.

Delivery times. DES PETITS HAUTS will deliver the order(s), together with a delivery note, within a maximum period of ten (10) business days for delivery within mainland France, and twenty (20) business days for delivery to any other destination, as from the day following payment of the order.

During the Outlet (from 28 October to 2 November inclusive), our order preparation time may exceptionally be extended to 72 working hours due to high order volumes.
Once your parcel has been dispatched, delivery times may vary from 2 to 6 working days, depending on the carrier.

Delivery charges. Delivery to a pick up point is free of charge in mainland France for any purchase of an amount equal to or greater than €150 including tax, after discounts (final basket amount). This offer is strictly limited to delivery to a pick up point and does not apply to home delivery. For any delivery outside mainland France, delivery charges are entirely borne by the Customer.

Customs Duties. Depending on the selected delivery country, customs duties may apply to your order. DES PETITS HAUTS offers a FedEx delivery service for Switzerland: as such, any applicable customs fees are covered by DES PETITS HAUTS. You will therefore have no additional customs charges to pay upon receipt of your order. For all other countries subject to customs duties, these remain the sole responsibility of the buyer and will be collected upon delivery by the carrier. For further information, please contact your local customs authorities.

Late delivery. In the event of a delay in delivery not justified by a case of force majeure, the Customer may request termination of the sale and obtain a refund of the sums paid in connection with the sale within a maximum period of fourteen (14) days.

Transfer of risk. Risk passes to the Customer upon delivery.

CLAIMS – RETURNS
The Customer must check the conformity of the Products received under the order at the time of delivery. Any issue relating to delivery, such as:
- damaged parcel,
- missing Products,
- damaged Products,
- Products not in accordance with the order,

must be reported within the statutory time limits following receipt of the order.

Such notification must be sent to DES PETITS HAUTS’ Customer Service by email at the following address: eshop@despetitshauts.com.

After this period, and except in the case of latent defects, no claim will be accepted by DES PETITS HAUTS and the Products will then be deemed to be in conformity.

For any return of a non conforming Product, the Customer must follow the procedure below:

The delivery note must be enclosed in the parcel, stating the reason for the non conformity. Products must be returned either in their original packaging or in packaging providing adequate protection against damage, together with their label and any accessories, in a condition allowing them to be resold, to the following address:

Once the non conformity has been confirmed, DES PETITS HAUTS will offer the Customer a refund of the order price (price of the Products and delivery costs), as well as the return costs for the non conforming Product, no later than thirty (30) days from the date on which the Customer Service of the Des Petits Hauts website sends notification confirming the non conformity. DES PETITS HAUTS will refund all non conforming Products returned, together with the delivery charges incurred, with the exception of any taxes and customs duties paid by the Customer upon delivery.

Cash on delivery returns are not accepted. In the event of receipt of a non conforming item, DES PETITS HAUTS will reimburse the return postage costs up to the amount of the tariff schedule (Colissimo delivery without registered option) published by La Poste as at 1 March of the current year. The Customer must send proof of the return costs incurred to Customer Service, by email or by post.

In the event of abnormal or abusive claims, DES PETITS HAUTS reserves the right to refuse to fulfil any subsequent order.

RIGHT OF WITHDRAWAL
In accordance with applicable law, and in particular Articles L.221 18 to L.221 28 of the French Consumer Code, the Customer has a period of fourteen (14) calendar days from the day following the date of receipt of the Item to exercise his or her right of withdrawal, without having to give any reason or incur any penalty.

In the case of an order for several Products delivered separately, or an order consisting of multiple lots or pieces delivered over a defined period, the withdrawal period runs from the day following receipt of the last Item or the last lot.

The Customer then has, in accordance with Article L.221 23 of the French Consumer Code, a period of fourteen (14) days from the notification of his or her decision to withdraw to return the Item(s).

For any return made under the right of withdrawal, the procedure set out below must be fully and strictly complied with:
- The Customer must access the return portal and submit a return request by providing the requested information, in order to obtain the return label.
- The return confirmation email received by the Customer must be printed and enclosed in the parcel. No return will be accepted without this document.
- Products must be returned in their original packaging, with their label and any accessories, and in a condition allowing their immediate resale.
- The Customer must affix the return label to the parcel.

- For orders shipped outside mainland France, return shipping costs are the customer’s responsibility.

- For orders placed During the Outlet (from 28 October to 2 November inclusive) and shipped to mainland France, return shipping costs are the customer’s responsibility. The prepaid return label is not provided. You may use any courier of your choice, except Mondial Relay, to send the parcel to the address provided in the return confirmation email.

- For orders placed outside the Outlet period (before 28 October or after 2 November) and shipped to mainland France, return shipping costs are free via Mondial Relay.

All risks associated with the return are borne exclusively by the Customer.

Subject to compliance with the above conditions, DES PETITS HAUTS will refund the Customer the VAT inclusive price of the returned Items (price of the Item(s)), excluding return costs.

The Customer’s bank account will be credited with the relevant amount within fifteen (15) days of the return request. This period may be extended until DES PETITS HAUTS has received the Item(s) or the Customer has provided proof of dispatch thereof. The Customer is informed that Products ordered on the Website are not eligible for exchange.

If the Customer returns the entire order, the initial delivery charges will also be refunded.

FORCE MAJEURE

DES PETITS HAUTS’ obligations shall be automatically suspended, without any compensation being due to the Customer, in the event of the occurrence of events beyond its control which prevent, delay, disrupt or render difficult the performance of orders or the delivery of Products, where such events constitute a case of force majeure as defined in Article 1218 of the French Civil Code.

In contractual matters, force majeure shall be deemed to exist where an event beyond the control of the obligor, which could not reasonably have been foreseen at the time of conclusion of the contract and the effects of which cannot be avoided by appropriate measures, prevents the obligor from performing its obligation. The Party invoking such event shall inform the other Party without delay of its inability to perform its obligations.

If the impediment is temporary, performance of the obligation shall be suspended, unless the resulting delay justifies termination of the contract.

If the impediment is permanent, the contract shall be automatically terminated and the Parties shall be released from their obligations under the conditions set out in Articles 1351 and 1351 1 of the French Civil Code.

EVIDENCE AND RECORD-KEEPING

Any contract concluded with the Customer corresponding to an order of more than one hundred and twenty (120) euros including VAT shall be archived by the Seller for a period of ten (10) years, in accordance with Article L.213 1 of the French Consumer Code.

The Seller agrees to archive this information in order to ensure a record of transactions and to be able to produce a copy of the contract at the Customer’s request.

In the event of a dispute, the Seller shall be able to prove that its electronic record keeping system is reliable and guarantees the integrity of the transaction.

PERSONAL DATA
DES PETITS HAUTS collects, via the Website, personal data concerning its Customers which are in particular necessary for processing their Orders, issuing invoices, handling their requests for information and, where the Customer has expressly opted in, sending promotional offers, unless and until the Customer no longer wishes to receive such communications from the Seller.

This data may be disclosed to the Seller’s subprocessors responsible for performing, processing, managing and taking payment for orders.

Customers are invited to consult the Seller’s Privacy Policy, available at the following address: https://despetitshauts.com/pages/politique-de-confidentialite , which provides more detailed information on the protection of personal data, the processing operations carried out via the Website and the procedures for exercising their rights.

Personal data are processed in accordance with the regulations applicable to the protection of personal data.

INTELLECTUAL PROPERTY

The Seller is the exclusive owner of all intellectual property rights in and to the Products offered for sale on the Website or in physical stores, as well as in and to the trademarks, service marks, shape marks, designs and models and copyrights associated with the Products, the Website and all of its components, including without limitation its visual identity and graphic elements, design, ergonomics, functionalities, software, texts, still or animated images, sounds, know how, drawings, graphics and any names, acronyms, logos or other signs that may be used, created or employed by the Seller.

Disclosure of any of these elements may not, under any circumstances, be interpreted as granting any licence or right of use in respect of said trademarks and distinctive signs protected by copyright. Any use thereof without authorisation may constitute an act of infringement. Accordingly, none of the documents originating from the Website may be copied, reproduced, republished, downloaded, posted, transmitted or distributed in any way whatsoever.

However, you may download a single copy of such documents onto a computer for your personal, non commercial use only, provided that you do not modify the information contained therein and that you retain all copyright notices and other proprietary notices intact. Any modification of these documents or use thereof for any other purpose constitutes an infringement of DES PETITS HAUTS’ intellectual property rights.

If you operate a personal website and wish, for personal use, to place on your site a simple link directing users straight to the homepage of the Website, you must first obtain prior authorisation from DES PETITS HAUTS. In such a case, no implied affiliation agreement shall be deemed to exist.

Conversely, any hyperlink redirecting to the Website that uses framing or in line linking techniques is strictly prohibited. In all cases, any link, even tacitly authorised, must be removed upon simple request from DES PETITS HAUTS.

WARRANTIES

DES PETITS HAUTS is liable for latent defects in the Product sold which render it unfit for its intended use, or which so diminish such use that the Customer would not have acquired it, or would only have agreed to pay a lesser price for it, had he or she been aware of them (Article 1641 of the French Civil Code).

This warranty allows the Customer who can prove the existence of a latent defect to choose between a refund of the price of the Product upon its return, or retention of the Product with a partial refund of the price (Article 1644 of the French Civil Code).

Any action arising from redhibitory defects must be brought by the Customer within a period of two (2) years from the discovery of the defect (first paragraph of Article 1648 of the French Civil Code).

LIABILITY
For all stages of ordering and for the stages following the conclusion of the sales contract, DES PETITS HAUTS is bound by an obligation of means.

DES PETITS HAUTS may not, in any circumstances, be held liable in the event of non performance or improper performance of the contractual obligations attributable to the Customer, in particular in the event of an error or omission when entering the order.

DES PETITS HAUTS endeavours to describe the Products offered for sale on the Website with the greatest possible accuracy. However, DES PETITS HAUTS cannot be held liable for any presentation of the Products that does not allow the Customer to perceive them in an absolutely complete and perfectly faithful manner (for example, hair of the model covering a detail of a garment, or a colour appearing differently on the Customer’s screen compared with the actual colour of the garment, etc.).
DES PETITS HAUTS shall not be held liable for any inconvenience or damage inherent in the use of the Internet, such as, in particular, a break in service, the presence of computer viruses or external intrusions, or more generally any cases deemed to constitute force majeure by the French courts.

DES PETITS HAUTS shall not incur any liability where the non performance of its obligations results either from the unforeseeable and insurmountable act of a third party to the contract or from a case of force majeure as defined by French case law.

The Website complies with French legislation, and DES PETITS HAUTS gives no warranty as to its compliance with any local legislation that may be applicable to you if you access the Website from another country.

ENTIRE AGREEMENT

In the event that any provision of these Terms and Conditions is rendered null and void as a result of a change in legislation or regulations, or by a court decision, this shall in no way affect the validity or enforceability of the remaining provisions of these Terms and Conditions.

The Seller undertakes to limit, as far as possible, the scope of such nullity or unenforceability so as to preserve the economic effect of these Terms and Conditions, and to replace the invalid provision with a valid provision producing, as far as possible, an equivalent effect.

Any matters not expressly dealt with herein shall be governed in accordance with the practices applicable in the retail sector for companies whose registered office is located in France.

AMENDMENT OF THE TERMS AND CONDITIONS
These Terms and Conditions apply to all Orders for Products placed by the Customer with the Seller.

These Terms and Conditions are dated and may be amended or updated by the Seller at any time. However, the Terms and Conditions applicable to an Order are those in force on the date the Order is placed.

Accordingly, any amendment to the Terms and Conditions shall not apply to Orders already concluded.

RÉGLEMENT DES LITIGES

MEDIATION

In accordance with the provisions of the French Consumer Code relating to the amicable settlement of disputes, DES PETITS HAUTS has appointed the Paris Mediation and Arbitration Centre (Centre de Médiation et d’Arbitrage de Paris – CMAP) as its consumer mediator.

After submitting a written complaint to DES PETITS HAUTS, the consumer may refer the matter to CMAP:
• by email: consommation@cmap.fr
• Via the online form, available at www.cmap.fr;
• by post: CMAP – Service Médiation de la consommation, 39 avenue Franklin D. Roosevelt, 75008 Paris, France.

The dispute may only be examined by the consumer mediator if:
a) the Customer has first attempted to resolve the dispute with our customer service by means of a written complaint, in accordance with the procedures set out, where applicable, in the contract;
b) the request is not manifestly unfounded or abusive;
c) the dispute is not being examined by another mediator or by a court;
d) the request has been submitted to the mediator within one year of the written complaint to our customer service; and
e) the dispute falls within the scope of competence of the consumer mediator.

Whichever means is used to contact CMAP, the request must contain the following information in order to be processed promptly: the Customer’s postal address, telephone number and email address, the name and address of the establishment concerned, a brief description of the facts and evidence of the steps already taken with the establishment concerned.

The Customer may use this mediation service for consumer disputes relating to a purchase made either on www.despetitshauts.com or in one of our stores.

APPLICABLE LAW AND JURISDICTION

Failing an amicable resolution, any legal action shall be brought as follows:
• in the event of an action brought by the Customer: before the court chosen by the Customer in accordance with Article R.631 3 of the French Consumer Code;
• in the event of an action brought by DES PETITS HAUTS: before the court of the place where the defendant is domiciled or the place of actual delivery of the Product concerned, at DES PETITS HAUTS’ discretion.

These Terms and Conditions, which govern any purchase made by a consumer on the Website, are governed by French law.
